Reference is made to the announcements dated 16 February 2017, 20 February 2017, 14 July 2017, 21 July 2017, 28 August 2017, 21 September 2017, 2 October 2017, 16 October 2017, 14 November 2017, 17 November 2017, 13 December 2017, 5 January 2018, 8 January 2018, 9 January 2018 and 15 January 2018 in relation to the above (“Announcements”). Unless otherwise defined, all the abbreviations and definitions used in this announcement shall have the same meaning as the words and expressions used in the Announcements.

On behalf of the Board of Directors of AFFIN Holdings Berhad (“AHB”), AFFIN Hwang Investment Bank Berhad (“AFFIN Hwang IB”) wishes to announce that the order of the High Court of Malaya dated 13 December 2017 (which confirms the reduction of the entire consolidated capital of AHB pursuant to Section 116(4) of the Companies Act 2016) had been lodged with the Companies Commission of Malaysia today pursuant to Section 116(6) of the Companies Act 2016. Accordingly, the Distribution has been completed today following the crediting of all the existing ordinary shares of AFFIN Bank Berhad (“ABB”) into the accounts of the Entitled Shareholders held under the Central Depository System.

The Subscription which is to be implemented concurrently with the Distribution has also been completed with the subscription by ABB of 2 new AHB shares for RM2.00. AHB is now a wholly-owned subsidiary of ABB following the completion of the Distribution and Subscription.

Subsequent to the above, AHB will be delisted from the Main Market of Bursa Malaysia Securities Berhad (“Bursa Securities”) and ABB will assume the listing status of AHB with effect from 9.00 a.m. on 2 February 2018. The stock code and stock name for ABB remains the same as AHB’s, being ‘5185’ and ‘AFFIN’, respectively.

The entire Reorganisation of the AHB group of companies will be completed upon the listing of ABB Shares on the Main Market of Bursa Securities.
