The Board of Directors of Affin Holdings Berhad wishes to announce that Affin Investment Bank Berhad (formerly known as Affin Merchant Bank Berhad) (the “Bank”) , its wholly owned subsidiary, had been imposed the following penalties by the Securities Commission (SC) vide the letter dated 3 July 2006: -


(i) public reprimand; and
(ii) non acceptance of corporate proposals to the SC under Section 32 of the Securities Commission Act, 1993 for a period of three (3) months from the date of the SC’s letter.

As a matter of background, the penalties arose pursuant to the proposed restructuring scheme of Omega Holdings Berhad (“Omega”) that was submitted to the SC by the Bank on 31 January 2003. The SC’s approval for the proposal was revoked on 2 August 2004 based on the SC’s discovery that the Sales Concession Agreement had been terminated. Without the concession, which was central to the SC’s approval, the SC considered the proposal to be no longer viable.

On 22 August 2005, the SC had secured a conviction against Kenneth Chow, also known as Wira Tjakrawinata, for submitting false information to the SC in relation to the proposed restructuring scheme of Omega.
