AFFIN Holdings Berhad ("AHB") wishes to announce that AFFIN-ACF Capital Sdn. Bhd. ("AFFIN-ACF Capital"), a dormant and wholly-owned subsidiary of AHB, had on 15 December 2012 commenced Members' Voluntary Winding-up pursuant to Section 254(1)(b) of the Companies Act, 1965.

Pursuant thereto, Datuk Tan Leh Kiah of AD-Consult Sdn. Bhd., Suite 13.03, 13th Floor, Menara Tan & Tan, 207 Jalan Tun Razak, 50400 Kuala Lumpur, has been appointed as Liquidator.

Brief Information on AFFIN-ACF Capital

AFFIN-ACF Capital was incorporated on 24 February 1966. Its authorised share capital is RM1,000,000,000.00 consisting of 1,000,000,000 ordinary shares of RM1.00 each and its paid up share capital is RM498,588,512.00 consisting of 498,588,512 ordinary shares of RM1.00 each.

AFFIN-ACF Capital was formerly known as AFFIN-ACF Finance Berhad ("AAFB") and the Company's principal activity was that of a licensed finance company prior to the transfer of its entire finance company business, assets and liabilities to AFFIN Bank Berhad ("ABB") on 1 June 2005, pursuant to the Vesting Order obtained by ABB and AAFB. The Company ceased its operations as a licensed finance company on 1 June 2005 and became dormant thereafter.

Rationale for the Winding-up

The Members' Voluntary Winding-up of AFFIN-ACF Capital is to rationalise and streamline the AHB Group structure.

Effects of the Winding-up

The winding-up of AFFIN-ACF Capital will not have any material effect on the earnings and net assets of the AHB Group for the financial year ending 31 December 2012.
